I used to work for a large defense contractor that...


employed large numbers of contractors. When contractors were offered the chance to go direct, it was a one way street with no off-ramps. Contractors were given an offer that was essentially take it or get out. There was little to no room for a counter-offer and not accepting the offer to go direct essentially meant your contract was terminated and you would be replaced. Before getting too creative, make sure you understand why you are being offered the chance to go direct, your leverage, the security of your contract position if you lose the direct offer and the corporate culture surrounding contractors/directs, etc.
