It's being spun off, which is a good thing for BTN shareholders.


Now, shareholders in BTN will actually own shares of Disney in addition to BTN. But not vise versa with respect to current Disney shareholders..

What it means is that the Murdochs not only will now become the largest individual owners of Disney, but will "spin off" their other FOX properties (BTN, FOX News, etc) to their shareholders at no cost as an IPO.

Outstanding business move with basically no tax consequences to their Parent Company shareholders. And a chance to be in control of both Companies.

In short, what Disney has done was literally just allowed the "FOX" into the henhouse.

As I understand it, Rupert negotiated full veto power over all "major decisions" such as the hiring and firing of any future Disney CEOs. That's why Robert Iger was allowed to stay past his 2019 "retirement" date. It's speculated that Rupert will appoint his son James as CEO after Iger "retires".

In other words, guys like Iger and John Skipper are now nothing more than Murdoch puppets.

Rupert really took them to the cleaners. If the deal fails anti-trust review, Disney has to pay FOX $2 billion dollars. Under normal circumstances, I would be shocked if this passed an anti-trust review, but Trump has already called Rupert and congratulated him.

Meanwhile, Time Warner and AT&T are facing more and more DOJ anti-trust road blocks as each day passes.
